These Terms and Conditions (the “Terms”) govern the use of the Catchy advertising marketplace (the “Platform”) operated by Purilian S.r.l. (trading as Catchy) (“Catchy”, “we”, “us” or “our”). By registering for an account or otherwise accessing or using the Platform, you (“User”, “you”) accept and agree to be bound by these Terms.

3.1 Catchy provides a pure‑SaaS marketplace that enables Publishers to list, and Advertisers to purchase, in‑store audio advertising slots.
3.2 Catchy supplies no hardware; Users are responsible for ensuring their own audio infrastructure and internet connectivity.
3.3 The Platform is offered on a business‑to‑business (B2B) basis worldwide.
4.1 Users must be duly incorporated business entities or natural persons acting in the course of business.
4.2 You warrant that the information provided during registration is accurate and complete and that you will keep it up to date.
4.3 You are responsible for safeguarding your account credentials and all activities occurring under your account.
4.4 Catchy may suspend or terminate accounts that violate these Terms or applicable law, with or without notice.
5.1 Commission. Catchy retains a success fee of 20 % of the gross amount of each Transaction (the “Commission”). No subscription, set‑up or minimum‑spend fees apply.
5.2 Collection and Payout. Catchy collects 100 % of the slot price from the Advertiser at the time of purchase (via credit/debit card, SEPA Direct Debit or wire transfer). The unpaid balance (80 %) is remitted to the Publisher within 30 days following the end of each calendar month. No minimum payout threshold applies.
5.3 Taxes. Where applicable, Service Fees are subject to Italian VAT. Advertisers are responsible for any reverse‑charge obligations.
5.4 Late Payments. Overdue amounts bear statutory interest under Italian Legislative Decree 231/2002, plus reasonable collection costs.
6.1 Catchy does not proactively screen Content. Publishers and Advertisers are solely responsible for ensuring that their Content is lawful, non‑infringing and complies with all advertising regulations.
6.2 The following are prohibited: (a) illegal content of any kind; (b) Content infringing intellectual‑property rights; (c) Content containing malware or designed to impair systems. Catchy imposes no additional category‑wide bans but reserves the right to refuse or remove Content that it reasonably believes to be harmful or non‑compliant.
6.3 Notice‑and‑Action. Anyone may notify Catchy of allegedly illegal Content via info@catchy.ad or the in‑Platform reporting tool. Upon receiving a sufficiently precise notice, Catchy will expeditiously disable access to or remove the Content and notify the User, in accordance with DSA Article 16.
6.4 Repeat Infringers. Catchy may suspend or terminate accounts that repeatedly post illegal Content.
7.1 All software, trademarks, and other intellectual property of Catchy remain the exclusive property of Catchy or its licensors.
7.2 Catchy grants Users a non‑exclusive, non‑transferable, revocable licence to access and use the Platform for their internal business purposes, subject to these Terms.
7.3 User Licence. By uploading or generating Content, you grant Catchy a worldwide, sublicensable licence to use, reproduce and transmit the Content for the purpose of operating the Platform and performing the Services.
7.4 Users shall indemnify Catchy against any third‑party claim alleging that User Content infringes intellectual‑property or other rights.
8.1 Roles. For all personal data processed through the Platform, Catchy acts as a data processor on behalf of the relevant Publisher or Advertiser, who are data controllers.
8.2 Categories of Data Processed. (a) business‑account credentials; (b) billing information; (c) slot‑sales analytics; (d) audio ads and associated metadata.
8.3 Purposes. Data are processed solely to provide, bill, and improve the Services, to detect fraud, and to comply with legal obligations.
8.4 Sub‑processors & Transfers. Catchy stores data in the European Economic Area. If data must be transferred outside the EEA, Catchy will implement appropriate safeguards under GDPR Chapter V.
8.5 Data Subject Rights. Controllers remain responsible for responding to data‑subject requests; Catchy will assist upon written request.
8.6 Retention. Personal data are retained for as long as necessary to fulfil the purposes above and any statutory retention periods.
8.7 No DPO. Purilian S.r.l. has not appointed a Data Protection Officer because Article 37 GDPR criteria are not met.
9.1 Catchy will provide the Platform with reasonable skill and care but does not guarantee uninterrupted or error‑free operation.
9.2 Except as expressly stated in these Terms, the Platform is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory.
9.3 Catchy disclaims all liability for the legality, accuracy or quality of User Content.
10.1 Cap. To the maximum extent permitted by law, Catchy’s aggregate liability arising out of or in connection with the Platform, whether in contract, tort or otherwise, shall not exceed the total Commission actually paid by the User to Catchy in the twelve (12) months preceding the event giving rise to the claim.
10.2 Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, wilful misconduct, or any liability that cannot be excluded or limited under applicable law.
Users shall indemnify and hold harmless Catchy, its directors, employees and affiliates from any claim, loss or damage arising out of (a) User’s breach of these Terms; (b) Content uploaded by the User; or (c) violation of any law or third‑party right.
Catchy shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including strikes, internet outages, government actions and natural disasters.
13.1 These Terms apply for as long as the User maintains an account or otherwise uses the Platform.
13.2 Either party may terminate the agreement for convenience upon thirty (30) days’ written notice.
13.3 Catchy may suspend or terminate the agreement immediately if the User breaches these Terms or applicable law.
14.1 Catchy may modify the Services or these Terms. Material changes will be notified at least fifteen (15) days in advance via email or the Platform, unless a shorter period is required by law or to address urgent security issues.
14.2 Continued use of the Platform after the effective date of the changes constitutes acceptance. Users who object may terminate the agreement before the changes take effect.
15.1 These Terms and any dispute arising out of or in connection with them shall be governed by Italian law, excluding its conflicts‑of‑laws rules.
15.2 The courts of Milan, Italy shall have exclusive jurisdiction.
15.3 A link to the EU Online Dispute Resolution platform (https://ec.europa.eu/consumers/odr) is provided for information only; Catchy participates in such procedures only if required by law.
These Terms are provided in Italian and English. In case of conflict, the Italian version shall prevail.
17.1 Entire Agreement. These Terms constitute the entire agreement between the parties and supersede all prior agreements.
17.2 Assignment. Users may not assign or transfer any rights or obligations without Catchy’s prior written consent.
17.3 Severability. If any provision of these Terms is held invalid, the remaining provisions will remain in full force and effect.
17.4 No Waiver. Failure to enforce any provision shall not constitute a waiver.

Le presenti Termini e Condizioni (le «Condizioni») disciplinano l’utilizzo del marketplace pubblicitario Catchy (la «Piattaforma») gestito da Purilian S.r.l., con sede legale in Via dei Della Robbia 46, 50132 Firenze (FI), Italia, P. IVA IT07089720481 – R.E.A. FI‑678721 (“Catchy“, «noi»). Creando un account, accedendo o utilizzando la Piattaforma, l’utente («Utente») accetta integralmente le presenti Condizioni.

2.1 Possono registrarsi solo soggetti business (B2B). Con la registrazione, l’Utente dichiara di agire nell’esercizio della propria attività imprenditoriale o professionale.
2.2 L’Utente garantisce che tutte le informazioni fornite in fase di registrazione sono veritiere, accurate e aggiornate, impegnandosi a mantenerle tali.
3.1 La Piattaforma mette in contatto Publisher e Inserzionisti. Catchy non è parte dei contratti di compravendita di spazi audio; agisce esclusivamente quale fornitore di servizi intermediari.
3.2 Catchy non effettua un controllo preventivo sui Contenuti caricati. Gli Utenti restano gli unici responsabili della liceità, accuratezza e conformità alle normative vigenti dei propri Contenuti.
3.3 Catchy si riserva di rimuovere o disattivare Contenuti illegali o illeciti previa segnalazione conforme all’art. 16 del Regolamento (UE) 2022/2065 («Digital Services Act»).
4.1 Il Publisher garantisce di possedere tutti i diritti necessari sui Contenuti caricati e che tali Contenuti non violano diritti di terzi, leggi applicabili né divieti di pubblicità settoriali.
4.2 Il Publisher concede a Catchy una licenza non esclusiva, gratuita, mondiale e sublicenziabile per ospitare, riprodurre, trasmettere e rendere disponibili i Contenuti ai fini dell’esecuzione della Transazione.
5.1 L’Inserzionista si impegna a fornire materiali audio conformi alle specifiche tecniche di Catchy e alle normative di settore (incluso eventuale diritto d’autore su musiche, voci, effetti).
5.2 Il pagamento del prezzo degli spazi avviene al momento della Transazione tramite i circuiti di pagamento messi a disposizione da Catchy. L’Inserzionista autorizza Catchy a incassare l’intero importo in nome e per conto del Publisher.
6.1 Usufruire della Piattaforma non comporta costi fissi o canoni. Catchy trattiene una Commissione del 20 % sul corrispettivo di ogni Transazione.
6.2 Catchy incassa il 100 % degli importi pagati dagli Inserzionisti e liquida mensilmente ai Publisher l’80 % residuo, entro l’ultimo giorno del mese successivo a quello di riferimento, mediante bonifico bancario senza soglia minima di pagamento.
6.3 Tutti gli importi si intendono al netto di IVA ove applicabile.
7.1 Salvo quanto diversamente indicato, tutti i diritti sulla Piattaforma (software, interfacce, banche dati, marchi “Catchy”) appartengono a Catchy o ai suoi licenzianti. Nessuna clausola delle presenti Condizioni trasferisce all’Utente tali diritti.
8.1 È vietato caricare Contenuti che siano diffamatori, osceni, ingannevoli, discriminatori, che violino diritti di proprietà intellettuale o qualsiasi disposizione di legge.
8.2 Catchy non impone ulteriori divieti di categoria (es. politica, alcool, gioco d’azzardo); resta comunque facoltà di Catchy rimuovere Contenuti illeciti o in violazione delle presenti Condizioni.
9.1 Tipologie di dati trattati: (i) dati di registrazione Utente, (ii) dati di fatturazione, (iii) analytics sulle vendite di slot, (iv) file audio e relativi metadati.
9.2 Ruoli GDPR: per tutti i trattamenti relativi ai dati dei Publisher e degli Inserzionisti Catchy opera quale Responsabile del trattamento (Processor) ai sensi dell’art. 28 GDPR.
9.3 I dati sono conservati in data‑center situati nello Spazio Economico Europeo. Non sono previsti trasferimenti verso Paesi terzi.
9.4 Catchy ha implementato misure tecniche e organizzative adeguate a garantire un livello di sicurezza conforme all’art. 32 GDPR.
9.5 Responsabile della protezione dei dati (DPO) – Non applicabile; Purilian S.r.l. non rientra nei casi di cui all’art. 37 GDPR.
10.1 Salvo dolo o colpa grave, la responsabilità complessiva di Catchy derivante da o in connessione con le presenti Condizioni è limitata all’importo maggiore tra: (a) la Commissione complessivamente corrisposta a Catchy dall’Utente nei 12 mesi precedenti l’evento che ha dato origine al reclamo; e (b) 20 % del valore complessivo delle Transazioni concluse dall’Utente nello stesso periodo.
10.2 Nessuna limitazione si applica a responsabilità per morte o lesioni personali, dolo, colpa grave, o altra responsabilità che non possa essere legalmente esclusa o limitata.
11.1 Le presenti Condizioni hanno durata indeterminata dalla data di accettazione.
11.2 Ciascuna parte può recedere in qualunque momento con preavviso scritto di 30 giorni; restano dovute le Commissioni maturate e non ancora pagate.
11.3 Catchy può sospendere o chiudere l’account dell’Utente con effetto immediato in caso di grave violazione delle Condizioni.
12.1 Le Condizioni sono regolate dalla legge italiana.
12.2 Per ogni controversia è competente in via esclusiva il Foro di Milano (Italia).
13.1 Viene resa disponibile una traduzione inglese di cortesia. In caso di incoerenza, prevale il presente testo in lingua italiana.
14.1 Catchy può modificare le Condizioni previa comunicazione via email con almeno 30 giorni di anticipo. L’Utente può recedere prima dell’efficacia delle modifiche. L’uso continuato della Piattaforma dopo tale data costituisce accettazione delle nuove Condizioni.
15.1 Invalidità parziale – L’eventuale nullità di una clausola non pregiudica la validità delle altre.
15.2 Cessione – L’Utente non può cedere il contratto senza il previo consenso scritto di Catchy.
15.3 Rapporti fra le parti – Nessuna previsione crea società, mandato, joint venture o rapporto di lavoro.
